CHIEF INTERNAL AUDITOR (Director Level)

(PERMANENT OPENING)

Business Unit: Internal Audit

Reporting to: Audit Committee of the Board of Directors

Purpose: Provide assurance and consulting services designed to add value and improve the operations of the company, its subsidiaries and affiliates. This includes directing or performing audits to evaluate whether the company’s key organizational and procedural controls are appropriate, effective and complied with.

Context: The Group consists of a holding company and a number of subsidiaries, and there are many business processes within these units. As a group function, this role directs audits across the entire organization to evaluate and improve the effectiveness of the risk management, control and governance processes.

ROLE ACCOUNTABILITIES

· Develop a flexible annual audit plan using an appropriate risk-based methodology, and submit that plan to the Audit Committee for review and approval no later than the end of November of the year proceeding the year of the plan.

· Implement the annual audit plan, as approved, including as appropriate any special tasks or projects requested by the Board, Audit Committee or CEO.

· Maintain professional audit staff with sufficient knowledge, skills, experience, and qualifications to meet the requirements of this charter.

· Participate in developing the regulations and policies of the company, its subsidiaries, and its affiliates, and examine the approved policies and express opinion thereon.

· Submit quarterly progress reports to the Audit Committee summarizing the main points arising from the audit assignments and a comparison of the actual work carried out with the approved plan for the same period and reasons for variances, if any.

· Keep the Board /Audit Committee informed with emerging trends and successful practices in internal auditing.

· Assist in or carry out the investigation of significant suspected fraudulent activities within the organization, as requested by management, and advise the Board /Audit Committee with the results.

· Raise reports to the Board /Audit Committee regarding any contravention that may come to its notice even if not included in audit plan.

· Liaise with the external auditors to ensure that their concerns are appropriately addressed by management and to enhance efficiency in the overall audit process.

· Comply with the provisions of the Internal Audit policies of the company, its subsidiaries/ affiliates.

Minimum Experience & Essential Knowledge

· 10 years experience in accounting and auditing

· Expert knowledge on internal control matters, international standards for the professional practice of internal auditing and international accounting standards

· Good telecom industry and IT knowledge

Minimum Entry Qualifications

· Bachelor or Masters degree in Accounting, Business Administration or related field

· Professional certification like Certified Internal Auditor (CIA), Certified Information Systems Auditor (CISA), Certified Public Accountant (CPA), Certified Management Accountant (CMA) or equivalent is an absolutely important criteria.

· Timeliness of reports on audits carried out

· Internal Audit expenditure level within budget

KEY RELATIONSHIPS & DECISION MAKING

Reports To: Functionally to the Audit Committee of the Board.- Administratively to the CEO

Decision Making

Decisions around which audit areas are to be covered and included in the audit plan for Board approval. This role has full accountability for the delivery of the audit process including decisions regarding matters which need to be highlighted to senior management and audit committee/Board.

Communicating, negotiating & influencing

Within the company, the role involves regular contact with the audit committee/board, executive management and all auditees across the entire organization. Externally, the role has contact with external auditors and other concerned parties to ensure that their concerns are appropriately addressed by management and to enhance efficiency in the overall audit process.

SEASONED CHIEF FINANCIAL OFFICER - Doha, Qatar

We are looking for a "SEASONED CHIEF FINANCIAL OFFICER" experienced in Private equity / Investment Banking / Management Consultancy from a Telecom or IT industry to join one of our Leading client in DOHA, QATAR (Tax free country).

JOB PURPOSE:
- The Chief Financial Officer (CFO) supports the institution's mission by setting portfolio targets and ensure portfolio financial performance monitored, controlled/audited, consolidated and meeting targets through performance monitoring and management. And by managing Treasury, Financial Management, Accounting and Information Services functions.
- As a member of senior management, the CFO participates in setting broad organizational goals, objectives and policies, particularly in the area of fiscal affairs. Tasks include supporting board representatives and executives on financial matters.
- Managing accounting, financial reporting activities, and supervising Board relations for the Finance, Audit and Investment Policy Committees.
- Offer selected financial support to subsidiaries (e.g. financing, CFO support, financial guidelines, etc.) as needed
- Monitor performance of subsidiaries and co-ordinate/ support performance reviews
- Identify financial synergies and drive benefit/best practice
- Provide financial support to M&A team and subsidiary board representatives
- Manage group accounting, reporting, audit and tax issues
- Work with and support other functions.

KEY RESULT AREAS:
- The CFO is invested with broad responsibilities and authorities to govern and manage financial control and compliance.
- Oversee financial policies and procedures for the accurate and consistent recording and reporting of all financial matters including budgeting, external financial reporting, internal financial reporting, capital funds tracking, project cost accounting, project and operational performance analysis, periodic reports to the Board of Directors, internal cost studies, and grant applications.
- Support project activities by establishing guidelines for capital funds utilization and solicitation plus monitoring use of fund/balances, forecasting funds availability, advising on usage decisions, and providing project bridge financing/advice to Directors and project staff.
- Oversees investing surplus and utilized funds to best advantage and maintain excellent reputation in the financial, banking, and investment marketplace as well as with shareholders.
- The CFO is an essential member of the following Management Committees: Investment Committee, Valuation Committee, Operating Committee, Risk management Committee
- Strategic financial planning, investment analysis and capital expenditure management, for current and future operating entities and projects
- Ensuring that suitable controls, financial processes and methodologies budgeting, forecasting and reporting are in place
- Monitor performance against agreed operating budgets, review financial performance of the business and recommend corrective actions where necessary
- Managing the overall risk, cash flow, and debt management of Knowledge Ventures
- Ensure proper reporting of financial accounts (work with Controller)
- Fulfill and optimize tax requirements
- Report to shareholders on the financial and business performance of Knowledge Ventures on a [monthly] basis, as well as at each Board meeting
- Develop a positive and trusting relationship with financial institutions and advisors
- Ensure corporate governance compliance
- Participate in long-range and annual development planning.
- Oversee and endorse the decision on information systems for financial management and planning.
- Support the annual Budgeting and Action Planning process.
- Ensure that staffing is in place to support financial management responsibilities.
- Direct departmental periodic reporting of actual financial performance against budget and evaluation of variances.
- Provide policies, standards and guidelines for budgets and help provide support for financial reports to grantors.
- Provide liaison and support to The Board's Finance, Investment Policy and Audit Committees.
- Make financial presentations at board meetings and at the periodic meetings of various advisory councils and groups.

KNOWLEDGE, SKILLS & EXPERIENCE:
- 10-12 years as a CFO or Controller, in finance
- A minimum of 10 years experience as CFO or Controller with a proven track record, ideally in: Private Equity, Investment Banking, Management Consulting
- Will have at least 10 years experience in Accounting and Financial Management with a multi-national company or financial institution (ideal combination will be someone who has worked in at least 2 of these industry sectors – Investment Banking / Telecom / IT / Management Consulting.
- MBA or equivalent degree required.
- Must have startup experience in building and growing organizations.
- Ability to develop/maintain relationships with capital markets, financial/private investors
- Experience leading performance management
- Solid knowledge of general accounting policies and financial reporting/ consolidation
- General knowledge about the Telecom and IT sector is preferred
- Has experience in cash management, treasury management, capital markets, budgeting, financial reporting and investor relations
- Will have dealt with investment banks and raised money from the capital markets
- Will have had exposure to mergers and acquisitions
- Has experience in tapping the capital markets such as soliciting investment ratings, launching bond issues, syndicated loans, equity offerings, filings with various regulatory bodies/exchanges, investor relations
- Will be internationally minded

General Manager- Investment

Purpose:

Business Unit: Group Finance

Department / Section: Group Treasury

Purpose: - This is an integral role within the Group Treasury and will involve a variety of regular responsibilities as well as a spectrum of ad-hoc projects across the function. Role includes treasury deal confirmation and settlement, project management as well as relationship management to bank back offices.

Context: - Group Treasury is a function within the Group Finance, responsible for the group’s liquidity and financial risk management strategy. It ensures effective utilization of the company’s available short-term funds and is responsible for the financial management of Balance sheet.

ROLE ACCOUNTABILITIES

Overview

I. Back Office :

Ø Comprehensive responsibility for deal confirmations and settlement.

Ø All payment modes, payment systems, payment processes in the company and its Opco’s as well

Ø Evaluate and restructure existing controls in Treasury

Ø Liaise with Treasury back offices of banks for administration and compliance documentation

Ø Liaise with internal and external auditors

II. Middle Office

Ø Risk analysis of liquidity, foreign exchange and interest rate positions

Ø Mark to market valuation

Ø Counterparty risk management (methodologies, control and compliance)

Ø Accounting for Treasury transactions (hedge accounting, month end reports)

Ø Developing processes to ensure timely reporting of Foreign Exchange and Interest rate exposures

III. General

Ø Participation in reviews and external negotiations with banking partners and auditors in relation to new instruments, procedures and controls

Ø Update and develop Group Treasury policies and procedures as required.

Ø Support regular Treasury accounting to ensure compliance with IFRS and any other relevant accounting standards;

Ø Review and negotiate legal documents (loan agreements, ISDA etc).

Ø Execute special project tasks assigned by Divisional Manager (payment systems etc).

Ø Leads small team of treasury assistants

Minimum Experience & Essential Knowledge

· At least 8 years of experience in Corporate Finance out of which 4 years are in corporate treasury of an international diversified company or an international bank.

· Very good knowledge of treasury operations management, payment system and processes.

· Comprehensive practical experience in respect of financial instruments used in major international companies.

· Well conversant with documentation for Loan/bonds/derivatives etc

· Operative Corporate Treasury Middle and Back Office experience is an advantage.

Minimum Entry Qualifications

Degree or equivalent in Accounting / Banking / Finance. Relevant professional qualification (CA, CFA etc.) would be an advantage.

The role holder makes and prepares decisions around payment modes, processes and systems as well as operative conformation and settlement of partly complex treasury deals.

Authority to negotiate with banks within approved strategies and limits.

SKILLS (Technical & non technical)

Strong affinity with IT systems in general, and with Microsoft Office software and Oracle finance in particular;

Good team player with excellent interpersonal skills.
